Waiver, Release, and Permission Agreement

Every participant must have a signed waiver on file before using CENTRAL. The full agreement is below for your reference.

In consideration for my participation in the services (including but not limited to programs, lessons, memberships, camps, clinics, events, and rentals) offered at or through CENTRAL, 604 W. Central Road, Mount Prospect, Illinois, I agree to the terms below.

Released Parties. As used in this Agreement, "CENTRAL" means, individually and collectively: (a) MNM Sports, LLC, an Illinois limited liability company d/b/a CENTRAL; (b) 604 Central LLC, owner of the premises at 604 W. Subsidiaries and Affiliates. "Subsidiary" means any business entity controlled directly or indirectly by any entity named above. "Affiliate" means any business entity directly or indirectly controlling, controlled by, or under common control with any entity named above.

Independent Instructors and Operators. Some lessons, programs, and services at the facility are provided by independent instructors, coaches, and businesses that operate at CENTRAL ("Independent Operators"). Independent Operators are not employees of CENTRAL. This Agreement also releases and protects Independent Operators, and their staff, to the same extent it protects CENTRAL, for their services provided at or through the facility.

I agree to: (1) all CENTRAL Policies and Procedures, available at www.604central.com/policies and at the front desk; and (2) all permissions, waivers, and policies found in this Waiver, Release, and Permission Agreement.

Personal Items and Damage Assessment — Members understand that CENTRAL is not responsible for any personal items damaged, lost, or stolen at its services or its facility. If a Member causes damage to property belonging to CENTRAL or to another individual due to negligence, misuse, or unsanctioned activity or behavior, CENTRAL reserves the right to charge the Member a damage repair assessment fee.

Emergency — Member agrees that in an emergency where the parent, guardian, coach, or listed emergency contacts of myself and/or my player(s) cannot be reached, CENTRAL will contact emergency medical personnel and, pending their arrival, take actions that are in CENTRAL's judgment in the best interests of myself and/or my player(s). Member is responsible for any resulting medical costs.

PLEASE READ CAREFULLY. THE ITEMS BELOW AFFECT YOUR LEGAL RIGHTS AND THOSE OF MINORS. THIS AGREEMENT IS LEGALLY BINDING. BY SIGNING IT, YOU AS A MEMBER RELEASE CENTRAL AND RELATED PERSONS AND ENTITIES FROM LIABILITY AND GIVE UP CLAIMS, AS DESCRIBED BELOW.

Photography and Audio — Members grant CENTRAL and its agents and assigns the right and permission to use, publish, and reproduce photographs, video, or audio taken of Members, including all reproductions in all forms and media now known or later devised ("Likeness"), for editorial, trade, advertising, and any other purpose, and to copyright the same. Members agree that CENTRAL has complete ownership of the Likeness and that they will not receive compensation for its use. Members release CENTRAL and its agents and assigns from all claims arising out of the use of the Likeness, including claims of defamation, invasion of privacy, infringement of moral rights, rights of publicity, or copyright. Members may request in writing that a minor's name not be published alongside his or her image.

Communication — Members waive, release, and discharge CENTRAL from all liability, claims, demands, and causes of action arising out of or related to its outreach and communication activities. Members understand that CENTRAL may send communications such as emails, text messages, newsletters, and promotional materials, and consent to receive them. Members may opt out at any time by contacting: info@604central.com

Assumption of Risk — Members acknowledge that use of CENTRAL facilities, services, equipment, and premises, and participation in CENTRAL services and activities, carries inherent risks. These include but are not limited to: (1) personal injury, including injury from batted, thrown, or machine-pitched balls, bats, netting, and training equipment; (2) property damage; (3) disability; (4) death; and (5) sickness or disease. Members voluntarily accept and assume full responsibility for these risks and all other risks of facility use and services participation. Members acknowledge that not every risk is described in this document and are not relying on it to do so.

Waiver, Release, Indemnification & Covenant Not to Sue — Members agree CENTRAL will not be liable for any personal injury, property damage, disability, death, sickness, or disease incurred by Members, their family members, dependents, or guests, however occurring, including through CENTRAL's ordinary negligence.

Members agree to waive any liability arising out of any actual, alleged, or threatened infectious, pathogenic, toxic, or other harmful properties of any "organic pathogen," including bacteria, viruses, or other pathogens, whether or not a microorganism. This waiver applies whether the organic pathogen results from a local, statewide, national, or global outbreak, epidemic, pandemic, or unknown cause.

Members further agree to release, and HEREBY DO RELEASE, WAIVE, AND COVENANT NOT TO SUE, CENTRAL from any causes of action, claims, suits, liabilities, or demands of any nature, including claims of negligence, which Members may have now or in the future because of personal injury, property damage, disability, death, sickness, disease, or accident of any kind arising out of, connected with, or related to facility use or services participation. This release applies however the injury or damage occurs, including the negligence of CENTRAL, and whether participation is supervised or unsupervised.

Indemnification — Members agree to indemnify, defend, and hold harmless CENTRAL from any claims, losses, costs, and attorneys' fees arising from the Member's (or the Member's minor player's) facility use or services participation, including any claim brought by or on behalf of a minor player.

Exclusions — Nothing in this Agreement releases any party from liability for willful and wanton misconduct, or any liability that cannot be waived under Illinois law.

Force Majeure — CENTRAL services and facility use are subject to acts of God, government authority, curtailment of transportation, disaster, widespread illness (including epidemic and pandemic events), and other emergencies that make it illegal, impossible, or commercially impracticable for CENTRAL to perform its obligations.

Governing Law and Severability — This Agreement is governed by the laws of the State of Illinois, and any action shall be brought in the state or federal courts serving Cook County, Illinois. This Agreement is intended to be as broad as Illinois law permits. If any portion is held invalid, the rest remains in full force and effect.

Signature and Agreements. I have read, understand, and agree with this Waiver, Release, and Permission Agreement and CENTRAL's Policies and Procedures found on the CENTRAL website. I understand that CENTRAL has the authority to revoke any right to participate in CENTRAL services or to enter its facility for any violation of its policies or procedures. I certify that I am at least 18 years of age and have the authority to sign this Agreement on behalf of myself and/or my player(s). If I sign on behalf of a minor, I represent that I am the minor's parent or legal guardian. I may choose to consult with an attorney regarding the terms of this waiver.

I HAVE READ THIS AGREEMENT, FULLY UNDERSTAND ITS TERMS, UNDERSTAND THAT I HAVE GIVEN UP SUBSTANTIAL RIGHTS BY SIGNING IT, AND SIGN IT FREELY AND VOLUNTARILY WITHOUT ANY INDUCEMENT.

Electronic Signature — The parties may sign this Agreement on paper or through electronic signature technology, in compliance with Illinois and federal law governing electronic signatures. To the extent I sign electronically, my electronic signature is the legally binding equivalent of my handwritten signature, with the same validity and meaning. I will not later repudiate my electronic signature or claim it is not legally binding. I agree not to object to the admissibility of this Agreement on the grounds that it is an electronic record or bears an electronic signature, or is not in its original form. I will immediately request revocation of my electronic signature in writing if I suspect it has been lost, disclosed, compromised, or used without authorization, and I may request revocation in writing at any time for any other reason. I may request a paper copy of this Agreement from CENTRAL.
